Terms and Conditions:

These terms of agreement between WBG Productions also referred to as "we" or "us", and you, also referred to as "the customer", are required before we process any submitted material, and are subject to change without notice. By agreeing to these terms, you acknowledge that you have read and understand these terms, and by submitting material and/or order form(s) to us, the customer agrees to these terms.

WBG Productions will not accept any type of pornographic materials. If your tape is found to contain either partial or full nudity, adult content, or pornography (which is a violation of these Terms and Conditions), your tape(s) will be returned to you without being transferred, and your payment refunded -- less the shipping & handling. In addition, we will be unable to accept further orders from you. Any future orders will either be: a) refused at the postal facility or, b) if delivered, will be returned with a refund minus the shipping/handling fees.

We will not knowingly accept any type of copyrighted material without appropriate proof of copyright ownership by you, and appropriate waiver forms signed and submitted to us. We will not knowingly accept material which contains any type of illegal activity, and if it is discovered during processing, material will be turned over to appropriate law enforcement agencies. The customer will indemnify and hold WBG Productions harmless against any claims or demands by any third party that infringes upon any Copyright and/or Patent. The customer shall be liable for and shall indemnify and defend WBG Productions from and against any claims in any way arising from or related to (i) the alleged infringement of patent, trademark, design, copyright or other intellectual property rights in relation to the customer's use of the service and (ii) customer use or inclusion of any information, photographs, artwork or other content including without limitation claims based on invasion of privacy, right of publicity, Communications Decency Act of 1996, obscenity or pornography, and a violation of any State or ordinance or other laws.

The customer understands that the quality of any material we produce is dependent upon the quality of the original source material received by WBG Productions. In addition, we make no guarantees of quality improvement when transferring tapes.

In the event of compatibility issues for DVD conversion, if the customer's DVD player brand and model number is not provided to us on the order form, causing our inability to determine the best compatibility for your player, the customer will be required to send the DVD(s) - but not the tapes - back to us for re-inspection. At that point we will re-burn the DVD(s) in a different format that is more compatible with the DVD player brand and model that the customer shall provide to us, and the customer shall be required to pay the price of an additional copy for each DVD, plus return shipping of the DVD(s) before they are shipped back to the customer. However, if the customer's DVD player brand and model number is specified on the order form and the disc(s) are incompatible, we will re-burn the DVD(s) at no additional cost, and the customer will not be required to pay for return shipping of the DVD(s).

WBG Productions may modify or discontinue, temporarily or permanently, any part of the Services, with or without notice to the customer, and the customer confirms that we shall not be liable to the customer or to any third party for any modification to, or discontinuance of, any part of the Services.

WBG Productions shall not be liable for any damages or loss related in any way, shape or form to the use or misuse of our product(s). Any liability we may have to the customer shall be limited solely to the compensation of blank replacement media agreed upon in good faith. The customer agree to indemnify WBG Productions and our associated companies, officers, agents, co-branders or other partners, and employees, from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of material you submit for our service.

This agreement shall constitute the entire agreement of the parties with respect to the services and product provided hereunder. These terms and conditions shall prevail, notwithstanding any different or additional terms and conditions in any form provided by the customer. No waiver of any rights hereunder shall be deemed to be a waiver of the right on any other occasion. This agreement shall be governed by the laws of the State of Ohio without regard to conflicts of law principles.

In case any one or more of the provisions contained in this agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, the invalidity, illegality, unenforceability shall not effect any other provision of this agreement and this agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.
